Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the http://www.yorkshirelabels.co.uk website and label manufacturing services (the "Service") operated by Yorkshire Labels (a trading style of BarcodeGenie Ltd) ("us", "we", or "our").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
1. Service Description
Yorkshire Labels designs and manufactures high-performance labels and graphics for businesses across the United Kingdom. Our services include thermal labels, barcode labels, RFID labels, cryogenic labels, retail graphics, and related products. We provide consultation, design, production, and delivery services for labelling solutions across various industries.
2. Quotations and Orders
2.1 Quotation Requests
Quotation requests must be submitted through our online quote form or via email. All quotations are provided as estimates and are subject to confirmation upon receipt of final specifications and artwork.
2.2 Quotation Validity
All quotations are valid for 30 days from the date of issue unless otherwise stated. Prices are subject to change based on material costs, specifications, or market conditions after this period.
2.3 Order Confirmation
Orders are confirmed upon receipt of written acceptance of our quotation and any required deposit payment. We reserve the right to decline orders at our discretion.
3. Artwork and Design
3.1 Customer-Supplied Artwork
Customers are responsible for ensuring that all supplied artwork is correct, complete, and print-ready. We accept artwork in industry-standard formats including Adobe PDF, AI, and EPS files. Artwork must meet our technical specifications, which are available upon request.
3.2 Design Services
We offer design and artwork services at an additional cost. Design services include new designs, artwork amendments, and range extensions. All design work remains the property of Yorkshire Labels until full payment is received.
3.3 Proofing and Approval
Digital proofs will be provided for customer approval before production. Production will not commence until we receive written approval of proofs. Customers are responsible for checking all aspects of the proof including text, images, colours, and dimensions. Once approved, no changes can be made without additional charges.
4. Payment Terms
4.1 Payment Schedule
Payment terms are typically 30 days from invoice date for established account customers. New customers may be required to pay a deposit or full payment in advance. We reserve the right to request payment in advance for any order at our discretion.
4.2 Late Payment
Late payments may incur interest charges at the rate of 8% above the Bank of England base rate per annum. We reserve the right to suspend services and withhold delivery of orders for accounts with outstanding payments.
4.3 Pricing
All prices are quoted exclusive of VAT unless otherwise stated. Delivery charges are additional and will be specified in your quotation.
5. Production and Delivery
5.1 Production Times
Standard production times are provided as estimates only and commence from the date of artwork approval and receipt of any required deposit. Rush orders may be available at additional cost, subject to capacity.
5.2 Production Tolerances
Industry-standard tolerances apply to all orders. We operate within BSI/ISO quality standards, which allow for variations of +/- 10% in quantity, and minor variations in colour, registration, and cutting. Such variations are not grounds for rejection or claims.
5.3 Delivery
Delivery dates are estimates only and are not guaranteed. We will use reasonable efforts to meet agreed delivery dates but will not be liable for any losses resulting from delays. Risk passes to the customer upon dispatch. Free delivery is available on orders over £400 to UK mainland addresses.
5.4 Delivery Issues
Customers must inspect deliveries upon receipt. Any shortages, damages, or defects must be reported to us within 7 days of delivery. Failure to report issues within this timeframe may result in claims being rejected.
6. Cancellations and Returns
6.1 Order Cancellation
Orders may be cancelled before production begins subject to a cancellation fee to cover administrative costs and any work completed. Orders cannot be cancelled once production has commenced. Custom-manufactured products cannot be returned unless faulty.
6.2 Returns Policy
Stock items may be returned within 30 days if unused and in original packaging, subject to a 20% restocking fee. Custom-manufactured labels cannot be returned unless faulty or not manufactured to specification. All returns require prior authorization.
7. Quality and Specifications
7.1 Technical Specifications
We manufacture products to meet the specifications agreed at the time of order. It is the customer's responsibility to ensure that specifications are suitable for the intended application. We offer technical advice but cannot guarantee suitability for all applications.
7.2 Colour Matching
Colour matching services are provided to industry standards. Minor colour variations between proof and final product, or between production runs, fall within acceptable industry tolerances. Customers requiring exact colour matching should request physical proofs and colour swatches.
7.3 Samples
Production samples can be provided upon request. Approval of samples constitutes acceptance of quality standards. Production runs will match approved samples within industry-standard tolerances.
8. Intellectual Property
8.1 Customer Content
Customers warrant that they own or have permission to use all content supplied for production, including logos, trademarks, images, and text. Customers indemnify us against any claims arising from the use of customer-supplied content.
8.2 Design Ownership
Design work created by Yorkshire Labels remains our property until full payment is received. Upon payment, customers receive a license to use the designs for their intended purpose. We retain the right to showcase our work for promotional purposes.
8.3 Confidentiality
We treat all customer projects as confidential. We will not disclose customer information, project details, or use customer designs for other purposes without permission, except where required by law.
9. Liability and Insurance
9.1 Our Liability
Our liability for defective products is limited to replacing the defective products or refunding the purchase price. We maintain professional indemnity insurance but our total liability for any claim shall not exceed the value of the order in question.
9.2 Limitation of Liability
To the maximum extent permitted by law, Yorkshire Labels shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, business opportunities, or data, whether incurred directly or indirectly. This includes losses arising from production delays, defective products, or service interruptions.
9.3 Customer Responsibility
Customers are responsible for ensuring products are suitable for their intended application. We provide technical guidance but cannot guarantee performance in all conditions. Testing and validation remain the customer's responsibility.
10. Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, war, pandemic, strikes, material shortages, equipment failure, or supplier delays. In such cases, delivery times will be extended by a reasonable period.
11. Data Protection and Privacy
We are committed to protecting your privacy. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to our data practices as described in our Privacy Policy.
12. Termination
We reserve the right to refuse service or terminate business relationships at our discretion, particularly in cases of payment default, provision of false information, or behavior that damages our business reputation. Upon termination, all outstanding invoices become immediately due and payable.
13. Governing Law and Disputes
13.1 Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
13.2 Dispute Resolution
Any disputes arising out of or relating to these Terms or our services shall be resolved through good faith negotiations between the parties. If negotiations fail, disputes will be resolved through the courts of England and Wales.
13.3 Jurisdiction
You agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes.
14. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
15. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes on our website. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yorkshire Labels (BarcodeGenie Ltd) regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
